A Wallet Full of Money and a Life Full of Nothing Essay In â€Å"Citizen Kane†, Orson Welles shows the viewer how an adult’s life can be tormented by their divested childhood. In his movie, Welles portrays Kane to be a man with the world in his hands yet he possesses nothing of sentimental value. Not being able to appreciate the people who surround him the way that they appreciate him, Kane turns to money and power to fulfill the love and affection he didn’t receive as a child. Welles portrays Kane’s robbed childhood, his vanity, and his hunger for power as the cause to Kane’s failed relationships and his lonely death. Shortly after the beginning of the movie, Welles uses symbolism to expose how Kane’s childhood innocence and purity had been taken from him at an early age. In this scene, Kane is out playing in the pure and white snow, which can be interpreted as Kane enjoying his innocent years in the essence of purity that comes with childhood. When his parents, along with Thatcher, go outside to inform him about his trip, Kane uses his sled as a defensive tool against Thatcher. This can be a reflection on why Kane never accepted Thatcher’s attempts at discipline and guidelines. Kane saw Thatcher as the person who deprived him of his childhood and took him away from his most prized possession, which was Rosebud, his sled. Towards the end of the scene, the sled is left out in the snow for years as the snow begins to pile up on it; this could be seen as a metaphorical correlation to Kane leaving his innocence and the purity of his childhood to become a man with a polluted soul who is ruled by money and power. As Kane grows up to become a man of wealth and power, many of his personality issues can be traced back to his childhood upbringing. The viewers are given an insight to the controlling and manipulative person Kane is when they come across the scene where Kane walks into the Inquirer and tells the editor-in-chief that he is literally going to live in his office. Because he couldn’t control his unsatisfactory childhood upbringing, Kane grew up to be an awfully controlling man. His controlling personality then led him to publish subjects that would on ly bring him attention. As a child who was taken away from his parents at only eight years old, he wanted all  the attention possible, hence the deceptive subjects he would publish. Kane’s childhood lacked the essentials of parental love and attention, which later transformed him into an egocentric, power-hungry monster. Possessing both money and power, Kane became obsessed with himself; the more power he obtained, the more he felt in need of it. At the age of twenty-five, Kane buys the New York Inquirer without even the slightest clue on how to run a newspaper business. One can thus determine that Kane would use his money to help him gain a voice. Kane never cared about his money, or the spending of, because he had plenty of it. What Kane really wanted was to affect the people. His original plan, when taking over the Inquirer, was to help and become the voice of the poor and underprivileged, but he quickly forgot about his promises, as he continually grew more and more corrupt by printing stories that would only get him attention. His hunger for power became bigger than him when he ran for Governor of New York and would print insulting cartoons of his opponent. Kane started out with a plan that would affect the people in a positive way but consequently became a highly unlikeable man who would only t hink about the power his money could bring to him. Not only was Kane a man who wished for more power but also he was a man who was also ruled by vanity. Throughout the movie, Welles interprets Kane’s vanity by showing the viewer how Kane would use his controlling personality to make sure all his surroundings were nothing but perfect. A good example of this is when Leland writes a newspaper article about Susan’s mediocre singing skills and Kane reads it. After he reads Leland’s notice, he is determined to make Susan a better singer so he forces her to train and perform in numerous cities. Because of his vanity, Kane is concerned with the public’s opinion of his wife. He does not want to be known as the man who married a singer with amateur singing skills. Welles also does a magnificent job in portraying Kane’s vanity in the scene where Susan leaves him and all Kane is truly worried about is all the guests in Xanadu who might witness her departure. How he appears to the public is much more important to him than the fact that his own wife is leaving him. As a man who was drunk on his own power and rule d by his vanity, Kane failed to see how much he would hurt the people who were closest to him, especially his second wife, Susan. Ever since he met her, the first sign of his complicated personality was shown when he demanded her to sing for him. In that scene,  the viewer could foresee the kind of controlling and demanding spouse Kane would be. Throughout their relationship, one could notice how he would treat Susan more as an object than his wife. By forcing her to perform and become a better singer, he was treating her as one of his statues. His statues were beautifully sculpted and that is what he wanted Susan to be. A beautiful woman who lacked a beautiful voice was not an option for the wife of Charles Foster Kane. As Susan grew tired of Kane being absent most of the time and being forced to live in their home as one of his many statues, she decided to leave him. Kane always treated people as if they were his property and Susan was no exception. When she informed Kane of her intention to abandon him, he said to her, â€Å"you can’t leave me† which goes to show how he thought of Susan as one of his statues. Kane’s statues would literally and physically never leave him, which is why he was shocked by Susan’s decision. When she does leave and Kane can’t do anything about it, he becomes f ull of anger and destroys Susan’s room. For a man who was just left by his wife, his anger towards her is also a big sign to the viewer that Kane only saw her as his property. Because of so many failed relationships throughout his life, a man of endless wealth and power ends up in his deathbed alone with no one to care for him. Throughout the movie, as Thompson goes on a search to figure out the meaning behind Kane’s last words before his death, the viewer is exposed to the many reasons why Kane died a lonely man. His relationship with Thatcher never developed further because Kane always saw him as the person who robbed him from sharing his childhood years with his family. The friendship he had with his closest friend ended when he fired him because of a simple statement that offended his vanity. The relationship with his first wife not only ended because of his infidelity but also because of his need for more power. Kane would spend more time at the Inquirer than with Emily, which made the relationship bound to terminate. Last but not least, his relationship with Emily was a complete failure because he saw her as an object as opposed to his wife. Every person who would get emotionally close to Kane would eventually end up leaving him. As a result of his big ego, Kane never managed to develop relatio nships with those who surrounded him therefore, the only company he had while lying in his deathbed was a snow globe and his childhood memories. As one can conclude, because of his miserable childhood, Kane grew up to lead a life  full of luxury and riches but he lacked the true meaning of life- to live. Money only bought him objects and power but never bought him true love of any kind. His last words were in reference to an object that he owned as a child and that goes to show that his only happy memories were back when he lacked the fortune he now had. Kane’s robbed childhood, vanity, and his hunger for power were the reasons why Kane lived such a lonely and unfulfilled life up until the day he died.

American Oil Dependence Since the oil embargo of 1977, there has been an increased awareness of our nation's energy security. As global population and energy consumption rise, the need for a stable energy supply has become a hot topic and a politically volatile issue. As our negative trade balance grows larger by the day, the United States finds itself in a rather precarious position. We are becoming more and more dependent on Middle East oil. Indeed, the U.S. Department of Energy (DOE) predicts that domestic petroleum consumption will increase to 60 Btu by the year 2025. This statistic, in and of itself, is a matter of concern with respect to the greenhouse gas emissions that result from petroleum combustion. However, perhaps more disconcerting is the fact that U.S. oil production peaked in 1970 and has continued to fall since then (Campbell et. al., 1998). Therefore, the American public has turned to foreign oil, in particular Middle Eastern oil, to supplement its increase in demand. In an age where terrorism is at the forefront of people's minds, we still continue to import oil from the same nations that supposedly harbor so-called terrorist groups. The fact is that we are unwilling to responsibly face our energy future and instead choose to maintain a policy of increasing oil supply through importation. One of the main problems with this strategy is that it is a short-term remedy. Studies conducted by M. King Hubbert in 1956 predicted the rise, peak, and subsequent decline of global oil production. He predicted that global oil production would rise until around 2002 and then start declining (Campbell et. al., 1998). How far do these sources suggest that young Henry VIII was an impressive figure as a king? In the 16th century an impressive figure of a king would mean that he demonstrated power both physically and economically and a good education. However as source two suggests, Henry might be considered less than impressive as he shows insecurities. A stronger argument though is that Henry did demonstrate the features of an impressive king as he had all the attributes listed above which is clear from all three sources.It might be inferred that Henry was less than impressive as he was clearly insecure. Source two shows Henry seeking to compare favourability with his rival king Francis I of France. He persistently asks the Venetian ambassador whether he is more physically impressive than Francis e.g. Henry asks ‘what sort of legs has he got?’ Such insecurity might encourage challenges as Henry could be seen as unconfident about his own authority. This argument could gain weight from t he fact that the ambassador would be seeking to provide accurate information to the government of Venice. It could however be seen as the only one incident by a king who had only been on the throne for six years. Also it is not sustained in the other two sources.The strongest argument suggests that Henry VIII was an impressive figure as king. From source two it might be inferred that Henry is very well educated as it shows Henry addressing the Venetian ambassador in French, †His majesty addressing me in French†. During his time on the throne only rich, well educated people could speak more than their native language. Source two is a written article so it is more likely to be reliable than a painting. Source two implies that Henry was an impressive warrior king because he says â€Å"look here and I also have a good calf to my leg†. This shows that he is physically impressive, a characteristic of an impressive warrior king. We can rely on this source as it was taken directly from the Venetian ambass ador’s report to his government. We can also infer from source three that Henry is physically impressive as the portrait shows a large man with broad shoulders. This agrees with source two and therefore supports the strongest argument that Henry was an impressive figure as king.However this portrait is by an unknown artist therefore it is very unreliable. It is also highly likely that Henry has paid the artist to make him look like an impressive warrior king. The argument that Henry was an impressive warrior king is also strengthened by source one. We can infer from source one that he had characteristics of a warrior because it tells us of how he was practicing with his guards at archery. Not only was he practicing with them, he also beat them as he hit the mark in the middle. Cultural Elements in Translation Essay

Different languages result in different world views. Different languages direct their speaker to a certain way of thinking and paying attention to certain aspects of the world around them. So translation is not only finding the best equivalent but also finding appropriate ways of saying things in another language. The main problem for a translator is to maintain the local color of source text (foreignization) or to adjust the text according to the culture of the target audience (domestication). One of the main goals of literary translation is show the sensibilities of the source-language culture to the target-language audience. Transmitting cultural elements is not an easy task. The translator should not only be a bilingual but also a bicultural. S/he should be familiar with the author’s intentions and readers’ expectations. S/he should study the history, social structure, religion, traditional customs and norms of both source and target texts which s/he is going to translate. Some of the problems which an Indian translator (or maybe any translator) faces during translating culture-specific items are as follows: * Translating proper names * Translating grammatical forms which show respect and euphemism * Translating social relationships * Translating life-style and values * Translating symbols * Translating habits * Translating national or religious ceremonies * Translating customs and traditions * Translating religious acts, myths and legends * Translating geographical and environmental phenomena So the translator should not stick to word-by-word translation but s/he should substitute certain elements in the work. S/he should attempt to transmit cultural quality from one language to another.

Sumerian Civilization essays After hearing about many different ancient civilizations I feel that the Sumerians were the most advanced and the best civilization of their time. Not only did they come up with their own system of writing but they also became advanced in fields such as astronomy and math. All of their achievements come together to prove their wisdom and advanced thinking skills of their time. Out of all of their achievements the Sumerians biggest accomplishment was their system of writing. Their unique system called cuneiform consisted of arrangements of wedge-like strokes generally impressed with a stylus on wet clay tablets. This system was later adapted by other civilizations such as the Babylonians and the Persians. Because the Sumerians were predominantly agricultural they also became skilled at building canals and at developing effective systems of irrigation. Some of their other contributions came from objects such as pottery, jewelry, and weapons. These show that they were also skilled in the use of metals such as copper, gold, and silver and had developed by 3000 B.C. fine artistry as well as considerable technological knowledge. There are many reasons why the Sumerian civilization can be considered better than the many other ancient civilizations. One reason is that they were able to come up with their own system of writing rather than adapting it from another preexisting civilization like the Persians and Babylonians did. Another thing that made the Sumerians better than some of the other civilizations was their use of the calendar which they divided into twelve months based on the cycle of the moon. Since a year consisting of twelve lunar months is considerably shorter than a solar year, the Sumerians added a "leap month" every three years in order to catch up with the sun. This interest in measuring long periods of time also led the Sumerians to develop a complicated knowledge of astronomy and the first human invention of the zodiac ...

Definition and Examples of Theme-Writing Theme-writing refers to the conventional writing assignments (including five-paragraph essays) required in many composition classes since the late-19th century. Also called school writing. In his book The Plural I: The Teaching of Writing (1978), William E. Coles, Jr., used the term themewriting  (one word) to characterize empty, formulaic writing that is not meant to be read but corrected. Textbook authors, he said, present writing as a trick that can be played, a device that can be put into operation . . . just as one can be taught or learn to run an adding machine, or pour concrete. Examples and Observations: The use of themes has been maligned and vilified in the history of writing instruction. They have come to represent what was bad about the Harvard model, including an obsession with correcting the themes in red ink, but the womens colleges typically used themes to get students writing regular essays based on common topics. . . . This paper discusses the problems that underlie the tainted image that the United States and her western allies have attained in the fight against terror. Governments around the world get accused of committing questionable atrocities to otherwise non terror squads within different countries. Countries like Egypt, Russia and Uzbekistan, got singled out in Human Rights watch groups as the worst violators of human rights to political opponents in a scheme to rid themselves of terror. The BBC report got based on a report by a Human Rights Watch Group in the United States. The United States believed that their efforts to fight terror groups became silent on human rights abuses. A complete disregard to the positives that war on terror has realized would sound myopic. The 9/11 attack in the U. S. soil was unethical and deserves all means possible to avert any other acts of such nature. Unfortunately, up to this far war on terror has not brought any more peace than before. My position regarding this topic is that this is a fascinating topic. The fact is that we are no safer than we were 10 years ago. The result of fighting against terrorism has led to abuse of human rights. This would not have been the case if America and its allies had stayed out of another war. As discussed earlier on the other assignment; this topic has to key different claims (Duffy 2008). The first claim is that the world is far much safer a decade after the United States and its allies declared war on terror. The second claim is that the war between United States and its allies led to denial of human rights especially for the people in the Middle East. People take advantage of animals and try to make money off of them by making them fight. In reality, this is a type of abuse and it is illegal. There are many different types of abuse that must be stopped. Although animal abuse occurs all over the world with all sorts of animals and people it can and must be put to a halt. People mostly do this because it is an easy way to release anger but there are ways or controlling that. People all over the world abuse animals not thinking about how badly they are torturing them. Every day you see a commercial on the TV about animal abuse and people think nothing of it and how badly we need to put a stop to it. There are many different ways that people can control their anger than by that. â€Å"Every day there are about three hundred animals are abused†. â€Å"It has been shown that people abuse animals to take their anger out on them† (National Humane Society) because of these reasons and it needs to stop. You can help by donating money to the humane society and help volunteer to save these animals. People may do this because of anger problems but also people can make money by making animals fight. Animal fighting is found all over the world. People do his because they can place bets and make money off of these fights. Usually they make good money off of these animal fights. These are mostly found in the more poor communities because they need to find a way to make money. They then start to rely on crime and dog fighting when they have no other income to rely on. The only problem with this is that they animals are usually killed of badly injured and usually discarded after fights. People would rather leave them instead of help because they don’t want to pay the money to help the dog recover so they just discard them into the streets and go on with there lives like nothing happened. There are other things that people can do to make money other than abusing animals. Animal fighting is cruel and is illegal. We can stop these animal fights by reporting them to the police and or donating money towards the helping of these hurt animals. There are People that host animal fights usually do it for money but also some do it so that they can make sure their animals are being good and behaved. Last but certainly not least is to control an animal. People may try to control animals by punishing them or hurting them. This is very wrong because they don’t deserve that. Many dogs just don’t realize what is going on most of the time because they haven’t been trained properly, instead people hit and abuse the dogs for doing something that they don’t even know is wrong. These types of people shouldn’t even have dogs in the first place if they abuse them like that. People have no heart when it comes to abusing animals. I love animals and I believe that people should be sent to jail for killing and abusing animals. Animals don’t deserve this cruel and unusual punishment therefore this needs to come to an end. I truly believe that there are alternatives to animal abuse and that it can be avoided. Just because people need some way of getting money, attention or even bring there anger out on doesn’t mean that it has to be on animals. People that might refute my position might say that these animals aren’t I need of help and they are perfectly capable of protecting themselves but I think that they aren’t. I believe that we need to help them and fight against this cruelty. â€Å"Raising awareness and raising money towards the end of animal abuse will help and eventually put a stop to animal abuse† (ASPEA organization). That is where we as human beings must come into play. We must be humane in every way possible to animals. â€Å"Animals can’t speak out but you can† (National Humane Society). D 2000) In the book marketing research an integrated approach, Alan Wilson also point out marketing research is about to provide information which should focus on customers, markets and competitors. That information will be used for making marketing decisions. Those information should be collected by wide range of sources and techniques, and then analysis, developed and applied. Marketing research also involves communication and dissemination, which will affect the decision makers and interested parties. Marketing research process There are seven steps in marketing research process: define the research problem, determine the research design, choose the method for collecting primary data, design the sample, collect the data, analyze and interpret the data, prepare the research report. Though those steps, marketers will make conversant decisions or reduce the risk of their decisions. Define the research problem In this step, the target of marketing research should be clarified. Research problem definition involves expressing the general problem and discovering the detail constituent of the general problem. Alan Wilson mentioned six issues must be considered in this step, the market environment, competitors reaction, organizations own plan, the effectiveness of companys previous marketing activities, the nature of new products and customer behavior. Define the research problem has been considered as the most important step in a marketing research project. Research can only be designed and carried out if the research problem has been clarified. Fifth, research questions can be answered by using secondary data. Sixth, primary data will be interpreted by secondary data with more penetration. Last, it can improve qualitative research results. The disadvantages of secondary research are also very obvious. Too many data have been collect during research; most of them are not even related to the research problem, so it will take marketers a lot of time to select and analysis these data. Primary research is using observation, qualitative or quantitative research to collect primary data. Primary data is defined as a kind of data originated by the researcher specifically to address the research problem. Three methods mentioned at the beginning of this paragraph are quite different from each other. Observation research Observation research collects data without any questions been asked to research targets. Researchers become the witness of targets behavior, such as childrens behavior with a new toy, or TV viewing patterns. The observation research can be divided into several categories, 1, natural versus contrived observation. 2, visible versus hidden observation. 3, Structured versus unstructured observation. 4, mechanized versus human observation. 5, participant versus non-participant. Qualitative research Qualitative research is a less structured research process, which involves small samples of individuals. The purpose of qualitative research is to understand targets, not to measure them. Malhotra considered qualitative research is based on at least two intellectual traditions. One of them is building up ideas and combining methods from psychology. The other is the set of idea and associated methods from sociology and anthropology. Both of these two traditions are related to the development of communication between researchers and those been researched. Researchers chose qualitative research for four reasons. First, in some research, questions are involved privacy or negative feeling that the research target unwilling to give answers to them. Qualitative research question are not full structured questionnaires, by giving these kind of questions can avoid the issues that people dont want to be asked. Second, subconscious feelings have huge affect on responders answers. Such as emotion , motivation or ego, these could always drive the thoughts, when responders try to answer the questions. Third, complex phenomena. With full structured questions, respondents sometimes have difficulties to find out the main propose of those questions, or they could just describe the situations but can explain the reasons to them. Last reason to use qualitative research is the holistic dimension. For example, a restaurant is doing a research about the satisfaction when customers having meal in the restaurant. The atmosphere that the consumers feel is the key issue to the research. And atmosphere can involve the music in the restaurant, the style of the furniture, other customers, serves been provided. One question cant cover all these points, but with small individual questions each part of the atmosphere can be asked, by join all these qualitative questions, the holistic view is build up. Alan Wilson described several types of research most suited to qualitative research in his book. Qualitative research is commonly used in three areas: exploratory research, new product development and creative development research. Exploratory research Exploratory research always been used when a company decide to improve the understanding of consumer behaviors, emotions, attitudes and preference. It is effective to use qualitative research to find out the reaction of customers about the new product concepts and designs. In the stage of developing the concept into a communicable form, it is the time to use qualitative research to determine if the concept is developable, or guide the designers to improve the concept. As same as advertising, in an organizations promotion plan, qualitative research can help the organization to achieve the communication objectives. Quantitative research Quantitative research is a full structured research approach, which involves large sample of individuals. In conclusion, economic crisis brings up too many negative impacts towards our politics in Malaysia such as expellation of Anwar Ibrahim, unstable of ruling political party Barisan Nasional, the disunity of public trusts in ruling political party due to lost in trust of the leader on that time.However, the existence of main opposition party Parti Keadilan Rakyat brings a very great impact to government on how they rule the country due to the possibility and ability of Parti Keadilan Rakyat to gain the public trusts. That ethical infrastructure is a manifestation of the commitment, a means of preventing and resolving ethical problems, and an impressive demonstration of sincerity. Primarily, the objective of this paper is to analyse the corporate governance implemented in the company. Herein, the company that will be given emphasis is a food retailing company. Overview of the Company Kay (1995) stated that food retailing in Britain is dominated by six chains and that the oldest and largest is the company that will be analysed in this report. The founder started the company by establishing its first grocery store in south London over a century ago, and the family tradition and the philosophy of good quality products at competitive prices have remained central to the firm ever since. Conservatively managed, the company came to the stock market only in 1973 and since then has expanded steadily from its loyal, and mostly southern, customer base. Founded in the year 1869 in London, John and his wife established their first shop, a dairy business in an area called Drury Lane. Because of the fact that Drury Lane was considered as one of the underdeveloped areas in the city back then, the shop managed to gain recognition in the area as it had products that were inexpensive despite the fact that they were of high-quality. Due to the business’ resounding success, two more shops later on opened at other streets. In the year 1882, the firm already had four shops that were in operation. But this didn’t stop the owner from further expanding his business. Hence, he unveiled his plans to have a storehouse in a town in northwest London in order to accommodate his growing number of supplies. At the same time, it was in this place that the first brand product of the company, namely bacon kilns, was made. Consequently, it was in the same year that the company opened its first branch in a town called Croydon. Unlike the other towns, Croydon was prosperous. And so, the shop here sold superior quality products. Not to mention, it looked much better than the previous shops that had opened. From here on, Sainsbury would continue to grow. At present, this food retailing has been able to hold on to the lead in the market. As a matter of fact, the company is pretty much advanced in many aspects, especially with regards to technology and of course, its fresh products. The company was the first to be able to use scanning and computerized stock control technology. In addition, it had implemented certain techniques such as sales-based ordering. All-in-all, these factors contributed greatly to the company’s competitive advantage that it is currently enjoying. Not to mention, its computerized energy management has helped bring down the consumption of energy. Moving on, the firm has a wide range of products. In fact, during the year 1994, its number of products multiplied more than twice its original number. And as of the moment, the business continues to pride itself with its specialty in fresh foods such as fruits, breads and low-fat milks. Even up to now, their customers continue to demand for even better products which the company efficiently responds to. The corporation is now mainly concentrated on their business in the UK (United Kingdom). This includes the supermarkets, the bank and its recently acquired stores which sells bells. Moreover, the company now has other products which are not food-associated such as home equipment, beauty products, clothing apparel and other general merchandise. As of March 2004, figures indicate that the firm is operating at least 583 supermarkets and it also has 50 banking centers which are housed in the stores themselves and as a result, the workforce has ballooned to about 153,000 people. Nature and Style of Governance It can be said that the company has a very good framework that has been established in order to deal with different corporate matters. In fact, there is usually a properly structured program that is further reinforced by company policies and other procedures for the proper guidance of the directors in their daily duties. Consequently, the company has a clear reference guide to its business operations and corporate governance. The Board of Directors which oversee the businesses and the decision-making routines as well as the financial aspect of things, keeps watch. In addition, this includes the maintenance of the standards with regards to corporate governance in the corporation’s different sectors. The Board is made up of ten directors; two are executive while six are non-executive. Because of this, there is a fair division of responsibilities and other tasks among them. And while the non-executive directors are independent from the others, they are still able to contribute their experience and knowledge during Board discussions. Without a doubt, The Board is in-charge of caring for the company’s operations, assets, and its shareholders. All-in-all, the board aims to work with these factors in the hopes of maximizing performance. Because of this, it is The Board that is responsible for the finalization of budgets and strategic plans. And in order to ensure the firm’s competent operations, The Board conducts a monthly review of the company’s businesses in relation to its financial movements. Furthermore, there is a company law that obliges The Board of Directors to carefully prepare each year, a financial report that would have to be accurate and reliable reflecting the true state of the company. All things considered, The Board of Directors is the one that is responsible for the proper safekeeping of accounting statements and to ensure that these records are precise and truthful. In addition, the board is in-charge of guarding the company’s other assets as well as making the necessary steps in order to prevent complications such as fraud and other types of risks. Aside from the board of directors, the company also has other committees as part of their corporate governance. Just like the board, other committees have a well-established reference guide which also discusses their duties and their scope of authority within the corporation.Composed typically of independent directors who are non-executive, the remuneration committee handles the outline for the company’s remuneration policy which would eventually be reviewed by the board. Moreover, this group is also responsible for the various remuneration packages that are given to executive directors. On the other hand, there is also a nomination committee which is also made up of mostly non-executive directors. The responsibility of this group is to recommend to The Board on which people should be appointed as directors. Finally, there is also a group known as the audit committee. Compared to the other two, the members of this committee is purely composed of non-executive directors. This group’s duty is to make proper recommendations with regards to the company’s accounting policies as well as overseeing financial control within the corporation (Sternberg, 1998) . For this reason, the committee usually receives and reviews financial reports and other statements delivered to them. Then, they make a comprehensive report before they submit it to The Board. Of course, there is also the group’s evaluation of the risks involved which has always been done to assist with the company’s next business move, and have further control of the corporation’s different operations. Issues Concerning the Board The board of directors is responsible for ensuring that the organization always has the best business performance and corporate governance. However, there are several issues that concern the board. One of which is in terms of the level of skill and care expected of the directors, specifically the non-executive directors. All non-executives should take note of the following comments in the Report, which could well foreshadow the approach of a court: â€Å"It must be recognised that non-executive directors may bring different skills to a board, some quite specialised, and that such persons may have limited accounting experience. However, accounting is not so complicated that such directors should be excused responsibility for the accounts. Accounting issues can be clearly explained so as to be understood by sensible laymen. If accounts are gone through carefully, explaining significant items in them, laymen should be able to ask pertinent questions and make informed judgments thereon. If, after all this, the layman cannot understand the companys accounts, then he ought not to be a director of that company. Often it is the director with little accounting experience whose common sense may lead him to question what those with accountancy experience may let pass. The accountings issues in respect of which some make criticisms were nearly all ones which involved no accounting complexity and what was acceptable and what was not should have been obvious to any reasonable director possessed of the facts who sensibly applied his mind to the issue. In most instances, those directors who decided to adopt the accounting were in a better position than the auditors to determine whether the treatment applied was acceptable or not. Those directors were thus not entitled to suspend their own independent judgment and rely upon the fact that the auditors failed to prevent them from adopting an unacceptable course. Another issue that concerns the Board is in terms of inadequate financial information. There are time that some of the members of the board, never prepared or presented to the Board any consolidated budgets or managements accounts which brought together the budgets and results of all the divisions in the Group. The absence of consolidated management accounts facilitated the practice of unacceptable year end adjustments being made by the accountant directors, unbeknown to most of the other directors, to create extra reported profits. In the last few years, the first the board as a whole knew of the results to be published was when the preliminary or interim announcement was circulated for information at the close of the board meeting that invariably occurred the day prior to announcement. In effect, the board as a whole never discussed the details of the results or what lay behind them. The main boards lack of understanding of the composition of the reported results was an extraordinary state of affairs which no director should ever have tolerated. Positive Aspects of Governance The Board has been able to attain complete control of all matters regarding the company. Their self-perseverance and obligation to their duties and finally, their obedience to the company laws all contribute to the development of the corporation. As such, The Board constantly believes that all the data pertaining to financial information and other facts regarding to their operations that are currently being used is reliable. The Board’s authority is clearly recognized within the company. And because of this, it is able to have a solid grip on the corporation’s actual operations, stakeholders and its financial concerns. Needless to say, because of the corporation’s proper structure and its commitment to the stakeholders and to the community as well, the board of directors has proven that it can efficiently handle both its ethical and legal responsibilities. Furthermore, the company is currently maintaining good relations and open communications with its investors. As a matter of fact, shareholders are regularly invited by the corporation whenever there are gatherings to discuss trade updates. Moreover, whenever there is an annual general meeting, investors get the chance to meet The Board members themselves. And of course, for private investors, they can also access the company’s website for various shareholder services. Undoubtedly, the company has good consideration for all of its stakeholders; past, present and future. There definitely seems to be a very well planned framework in the firm’s corporate division. It has good policies and procedures with regards to financial matters and operational concerns. Its procedure of assessing the different kinds of situations that come up is certainly a good move on their part. Not to mention, they have maintained good relations with their stakeholders. And finally, The Boardâ€⠄¢s authority is unsurpassed. Clearly, these facts prove the strength of the company’s corporate governance structure. Negative Aspects The weakness on this case however, is the fact that it cannot always be assured that there are no losses or other errors which may result from mistakes and inconsistencies by one of the committees or employees involved. In addition, having diverse populations, there can be a possibility of having internal problems between members who have different culture and beliefs. In addition, some problems occur in terms of giving value to the companies’ shareholders. There are times that the shareholder is not given the enough information about the status of the company, specifically that shareholder which have a small part in the business. This happens when the board of directors does not give value to their shareholders. Other negative aspects include the imperfection of financial reporting procedures which may definitely result in ineffective corporate governance. Recommendation Corporate governance is said to be one of the most important aspects to be considered in an industry. Hence, it is recommended that the company should be able to determine the most appropriate and effective corporate governance structure and approach so as to ensure that the business will adhere to all social responsibilities, legal and ethical aspects. In addition it is also recommended that this food retailing industry should give value not only to its customers and employees but most especially to the shareholders who have trusted the company and its capabilities. The company must be able to align carefully their corporate governance approach with its organizational objectives. Conclusion Corporate governance is a process which is concerned about how corporations are managed, how managers are governed, what questions face by boards of directors and the accountability a corporation has to shareholders. In this case, it can be seen that the food retailing industry has been able to implement effective corporate governance which guides the organization to become more competitive in the marketplace. Accordingly the issues concerning the board include the level of skill and care expected of the directors and inadequate financial information. In order for the organization to address the issue, the members of the board are trying to create a resolution for these issues. In terms of positive aspects, the members of the company have been able to contribute well in ensuring competitive performance of the company. The board of directors of this organization ensures that all their actions are legal and adheres to business ethics. In addition, they also ensure that their social responsibility is also incorporated with their accountabilities. Although the company has positive aspects, it also has its negative aspects. One of which adheres to the notion that, because of the mistakes and inconsistencies of the individual involved, it cannot always be assured that there will be no losses or errors that will occur. In ability to handle diversities and differences is also a negative aspect that can be attached with the company’s corporate governance practice. Lastly, inability to ensure shareholder value is another negative aspect of the company. It is said that the shareholder is regarded as the central stakeholder of each industry.
